Welcome to kacet, a blockchain-based freelance marketplace connecting clients and freelancers. These Terms of Service (“Terms”) govern your use of the kacet website, platform, and services (“Services”). By accessing or using kacet, you agree to be bound by these Terms. If you do not agree, please do not use kacet.
1. Acceptance of Terms
By creating an account, linking a wallet, submitting or accepting proposals, funding an escrow, or using any part of the platform, you agree to these Terms and our Privacy Policy. These Terms form a legally binding agreement between you (“User”) and kacet (“we,” “our,” or “us”).
2. Eligibility and Accounts
- You must be at least 18 years old and legally able to form binding contracts.
- You must provide accurate and complete account information.
- You are responsible for keeping your account credentials and wallet secure.
- You must connect a valid Solana wallet to use on-chain features such as escrow and payments.
- Do not share your wallet private keys or use another person’s wallet.
3. Nature of Our Services
kacet provides an online platform that facilitates connections between clients and freelancers. We enable users to post jobs, submit proposals, fund and release on-chain escrow payments, and resolve disputes. kacet:
- Is not a party to contracts between clients and freelancers.
- Does not employ freelancers or act as their agent.
- Does not hold or custody user funds. All transactions occur directly on the blockchain through smart contracts.
4. Blockchain and Cryptocurrency
- All payments on kacet occur on the Solana blockchain.
- Cryptocurrency transactions are irreversible once confirmed.
- Token values may fluctuate significantly.
- You are solely responsible for the security of your wallet and private keys.
- kacet does not refund losses arising from token volatility, wallet theft, or smart contract vulnerabilities.
- Network congestion, downtime, or blockchain errors may delay or prevent transactions.
5. Escrow and Smart Contracts
Job payments are held in a smart-contract escrow on Solana. Clients fund escrows when a proposal is accepted. When a job is completed and approved, funds are released to the freelancer automatically (minus kacet fees). Refunds are made in the same token used to fund the escrow. All escrow transactions are publicly visible on the blockchain and immutable once confirmed. kacet never has access to user funds or private keys.
6. Platform Fees
- kacet charges a platform fee on successful transactions.
- The current fee percentage is displayed at the time of proposal submission or job funding.
- Fee responsibility (client, freelancer, or shared) may vary by product version.
- Fees are non-refundable except as required by law.
- kacet may adjust its fee structure with reasonable notice to users.
7. Job Proposals and Agreements
Freelancers submit proposals that include a quote, duration, and message. Clients may accept or reject proposals at their discretion. When a proposal is accepted, the client and freelancer enter into a direct agreement to complete the work as described. kacet is not a party to that contract and has no liability arising from its performance.
8. Work Delivery and Acceptance
Freelancers must deliver work meeting the agreed acceptance criteria. Clients must review and approve deliverables within a reasonable timeframe. Upon approval, escrowed funds are released to the freelancer. If work is unsatisfactory, the client may request revisions or initiate a dispute.
9. Dispute Resolution and Arbitration
Disputes between users are handled through kacet’s community-driven arbitration system. Either party may open a dispute if there is disagreement over delivery, quality, or payment. Until the arbitration system is fully implemented, disputes are reviewed manually by kacet administrators. Outcomes may include full release of funds to the freelancer, partial release and partial refund, or full refund to the client. All dispute resolutions are executed on-chain and are final. Users agree to abide by the outcome of community or administrative arbitration.
10. User Conduct
- Use kacet for lawful and legitimate purposes only.
- Do not infringe the intellectual property rights of others.
- Do not bypass or manipulate the escrow or payment systems.
- Do not engage in harassment, abuse, or spam.
- Do not maintain multiple or fake accounts to manipulate ratings or job visibility.
- Do not make or accept off-platform payments, as these are not protected by kacet’s escrow or dispute system.
- Do not attempt to reverse-engineer or exploit platform code or smart contracts.
11. Intellectual Property
Work created by freelancers remains their property until payment is released. Upon full payment, all relevant intellectual property rights transfer to the client, unless otherwise agreed. Freelancers may showcase completed work in portfolios. Deliverables using AI tools are permitted, provided the freelancer has rights to use any included assets. kacet retains ownership of all platform content, code, branding, and trademarks.
12. Risk Disclosure
Using blockchain technology carries inherent risks. By using kacet, you acknowledge that cryptocurrency markets are volatile; smart contracts may contain unforeseen bugs or vulnerabilities; transactions are irreversible and subject to blockchain confirmation delays; kacet does not guarantee network performance or token value; and you are responsible for ensuring legal compliance in your jurisdiction regarding crypto use.
13. Tax Responsibility
Users are solely responsible for reporting and paying any taxes arising from income, payments, or transactions made through kacet. We do not provide tax advice or issue tax forms.
14. Community Guidelines
kacet promotes a respectful, transparent, and fair community. Users should communicate professionally, provide honest feedback, respect cultural differences, and use disputes only in good faith. We reserve the right to moderate accounts that disrupt the community or damage trust in the platform.
15. Limitation of Liability
To the maximum extent permitted by law, kacet is not liable for indirect, incidental, or consequential damages; loss of profits, reputation, or cryptocurrency; smart contract or blockchain failures; disputes between clients and freelancers; or wallet breaches or user error. Your use of kacet is at your own risk.
16. Disclaimer of Warranties
kacet and its Services are provided “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee uninterrupted access, error-free operation, or that our smart contracts are free of vulnerabilities.
17. Force Majeure
kacet shall not be liable for delays or failures caused by events beyond our reasonable control, including blockchain outages, cyberattacks, regulatory changes, natural disasters, or internet disruptions.
18. Termination
We may suspend or terminate your account at any time if you violate these Terms. You may close your account at any time. Existing escrows will continue to operate per smart contract rules.
19. Changes to These Terms
We may update these Terms periodically. Material changes will be communicated through the platform. Continued use of kacet after changes means you accept the new Terms.
20. Governing Law
kacet operates globally and does not yet designate a primary legal jurisdiction. These Terms are interpreted in accordance with general international contract principles until such time as a governing jurisdiction is established.
